Back in January 2003 I called Microsoft because my Windows XP Pro Upgrade (retail) CD failed to install because of scratches on it. They sent me a replacement CD. I did have to prove I had a retail copy by reading to them the Product Key for it.
Some notes on the replacement CD.
* I had to pay something like $25-$30 for it.
* It was not a retail CD. It had "Not for retail or OEM distribution" on it.
* It had its own Product Key on it.
